Terms of Use

Effective date: September 7, 2026

1. Scope and acceptance

These Terms of Use govern access to and use of ruzaani.com, its public content, service descriptions, case studies, contact functions and other website material made available by Ruzaani.

Ruzaani is a trade name operated by Fernando Alberto Ocampo Romay, with domicile at Hidalgo 914, Centro, Coatzacoalcos, Veracruz 96400, Mexico.

By accessing or using the website, a person agrees to use it in accordance with these Terms. Where an interactive function requires express acceptance of these Terms or another applicable notice, use of that function is subject to the version accepted at that time.

These Terms do not themselves govern the substantive performance of a consulting engagement. Where Ruzaani and a client enter into a statement of work, engagement agreement, or other written contract, that agreement governs the consulting work within its scope. If an applicable engagement agreement conflicts with these Terms in relation to that engagement, the engagement agreement prevails to the extent of the conflict.

2. Nature of Ruzaani's website

The website provides information about Ruzaani's marketing systems and automation services, including CRM and lead handling, conversion tracking, campaign implementation and technical support for agencies. It also presents relevant professional experience and case studies.

Website material is general information. It is not a client-specific audit, certification, assurance opinion, regulatory determination or approval of a particular investment, technology, vendor or course of action.

A service description indicates the type of work Ruzaani can discuss. Actual deliverables, dependencies, fees, timing, acceptance and support are established in the applicable proposal and engagement agreement.

3. No consulting relationship

Accessing the website, reading its content, requesting contact, exchanging preliminary correspondence, or participating in an initial discussion does not by itself establish a consultant-client relationship or other professional engagement with Ruzaani.

A consulting engagement exists only when Ruzaani and the relevant client expressly enter into a statement of work, engagement agreement, or other written contract establishing the work to be performed.

Until such an agreement exists, neither website use nor preliminary communications create a duty for Ruzaani to investigate the user's circumstances, verify submitted information, monitor subsequent decisions, identify risks not addressed by the relevant website content, or provide continuing professional advice.

4. Eligibility and authority

Ruzaani's services are directed to adults acting in a professional or business capacity. A person entering into an engagement must have the legal capacity and, where relevant, organizational authority to do so.

A person who provides information concerning an organization or another person is responsible for having the right or authority necessary to provide it for the intended purpose. Browsing the website does not represent that Ruzaani has verified a visitor's age or authority.

5. User-provided information

A person making an inquiry or supplying project information should provide information reasonably believed to be accurate and sufficient for the intended discussion. Inaccurate, incomplete or outdated information may affect the scope, feasibility or usefulness of any preliminary response.

Users must not submit personal, confidential, proprietary or otherwise restricted information belonging to another person or organization unless entitled to disclose it for the relevant purpose.

Passwords, authentication credentials, private encryption keys, unlawfully obtained information and unnecessary sensitive personal data must not be submitted through general website forms.

Where an engagement requires access to confidential, sensitive or restricted information or systems, access and handling must be arranged under the applicable engagement and privacy requirements.

6. Reliance on website content

Website material can assist understanding and preparation for a professional discussion. It is not an instruction to undertake a particular investment, procurement, hiring decision, technology deployment, automation or other material action.

The person or organization making a decision remains responsible for deciding what additional investigation, evidence, testing, approval or qualified advice is appropriate before acting. General website material is not a substitute for legal, tax, accounting, investment, medical, safety or other advice requiring a specifically qualified practitioner.

Identifying a possible opportunity or describing a past implementation does not establish that the same action is suitable, lawful, economically justified or technically feasible for another organization.

7. Case studies and reported results

Case studies describe particular historical engagements, contributions and reporting periods. Work performed by Fernando Romay before or outside a current Ruzaani engagement is attributed to his actual role.

Tracked conversions, inquiries, leads, reported sales and revenue are different measures. Results must be read with their stated period, source, scope and limitations. A case study is not a promise that another business will obtain the same result or that every reported outcome was caused solely by Ruzaani or Fernando.

Unless expressly identified as independently verified, reported business results are not represented as audited figures. A historical case does not imply a current engagement, endorsement or permission to contact the client on Ruzaani's behalf.

8. Artificial intelligence

Ruzaani may use artificial intelligence to assist certain analytical, drafting, explanatory, or research functions. AI may assist professional research, analysis, drafting or an agreed implementation. The contact form does not itself provide an automated professional assessment or AI consultation.

AI-generated material may contain errors, unsupported statements, omissions, or inappropriate inferences. It must therefore be interpreted according to the limitations of the relevant function and must not be treated as independently verified merely because it was produced or assisted by an AI system.

Where professional work requires accountable human judgment, AI does not replace the responsible consultant or specialist.

Further information concerning Ruzaani's use of AI, provider restrictions, data retention, and human-review boundaries is provided in the AI Notice.

9. Contact and communications

Submitting the contact form requests a response. It does not reserve delivery capacity, accept a project or create a service-level commitment. An acknowledgment email confirms receipt only.

A person should keep control of the email address used for correspondence and avoid forwarding confidential material to unintended recipients. Where a project requires access to client systems, credentials and permissions must be handled through the agreed secure process, not the public contact form.

Ruzaani may decline an inquiry that falls outside its capability, availability or acceptable scope. The Privacy Notice governs the information supplied and the person's communication choices.

10. Project deliverables

Paid project deliverables, usage rights, acceptance, revisions and handover are governed by the applicable engagement documents. Website Terms do not replace those arrangements or impose the former self-service report restrictions on agency work.

White-label implementation and delivery through an agency may be agreed expressly. No such permission grants ownership of Ruzaani's unrelated website content, branding, reusable materials or third-party intellectual property.

11. Intellectual property

Unless otherwise stated, Ruzaani or the applicable rights holder retains intellectual-property rights in the website, software, text, graphics, templates, frameworks, branding, publications and other original material. Access to the website does not transfer ownership of those materials. Third-party fonts, libraries, client materials and other resources remain subject to their applicable rights and licenses.

Information supplied by a user remains subject to the rights of the user or other lawful owner. By submitting information, the user grants only the authority reasonably necessary to handle the request, operate and secure the service, comply with law or perform an agreed engagement. Submission is not permission to publish confidential material, add someone to a marketing list or train a general-purpose model.

Visitors may read the website, share links and use material as permitted by applicable law. Commercial republication, misleading rebranding or reproduction of substantial protected material requires the applicable permission. Any license for paid deliverables is established separately in the engagement documents.

12. Publications

Articles, analyses and other publications must be read in their stated context. A comparison or statistical relationship does not establish that the same result applies to another business.

Client or prospect information is not made available for publication merely by being submitted to Ruzaani. Case-study use of confidential material requires appropriate authority. Any research involving personal data must have a proper purpose and handling arrangements under the Privacy Notice and applicable law; these Terms do not authorize a new assessment dataset or research program.

13. Prohibited use

The website must not be used unlawfully, fraudulently or in a manner intended to compromise its security, integrity or legitimate operation.

Users must not impersonate another person; attempt unauthorized access to sessions, infrastructure or non-public information; bypass security controls; interfere with availability; introduce malicious code; systematically extract or reproduce protected content in breach of applicable rights; submit information they have no right to provide; or misrepresent website content as a certification, professional audit or endorsement by Ruzaani.

Ordinary indexing by legitimate search engines and ordinary use of browsers or accessibility technologies are not prohibited. Nothing in these Terms prohibits activity that applicable law makes non-waivable or permits notwithstanding a contractual restriction.

14. Third-party websites and services

The website may refer or link to third-party websites, publications, software, services, or providers. A reference or link does not by itself constitute an endorsement, warranty, partnership, or representation that Ruzaani controls the third party. Third-party services are governed by their own terms and practices.

Ruzaani is not responsible for third-party content, availability, security, or practices except to the extent that applicable law imposes responsibility that cannot validly be excluded.

15. Privacy

Ruzaani processes personal data in accordance with its Privacy Notice. The Privacy Notice explains the categories of information processed, purposes of processing, retention periods, international processing, service providers, and procedures for exercising applicable privacy rights.

The Cookie Notice describes cookies, browser storage, analytics technologies, and advertising measurement. The AI Notice describes the processing and limitations associated with artificial-intelligence systems.

These notices form part of the framework governing use of the corresponding website functions but do not themselves create a professional engagement.

16. Availability and changes to the website

Ruzaani may correct, maintain, update, suspend, replace, restrict or discontinue website content or functions for technical, security, operational, legal or business reasons. It does not guarantee uninterrupted or error-free availability or indefinite preservation of information beyond the applicable retention period.

Immediate restriction may be necessary for security, abuse prevention, legal compliance or protection of users and systems. Commitments concerning paid delivery or ongoing support are governed by the applicable engagement.

17. Disclaimer of warranties

To the maximum extent permitted by applicable law, the public website and informational content are provided on an as-available basis without a warranty that they will be uninterrupted, error-free, complete, suitable for every circumstance or capable of producing a particular business result.

Website material does not identify every issue, risk, dependency, legal requirement or technical constraint relevant to a particular organization. Historical performance and descriptions of implementation do not guarantee future leads, sales, revenue, advertising results or return on investment.

Nothing in these Terms excludes a warranty, guarantee or statutory right that applicable law does not permit the parties to exclude. Paid-service commitments remain subject to the applicable engagement agreement.

18. Limitation of responsibility for website use

To the maximum extent permitted by applicable law, Ruzaani is not responsible for losses resulting from a person's or organization's decision to rely solely on website content where appropriate independent investigation, evidence, due diligence, professional advice, specialist review, or organizational approval was required by the circumstances.

In particular, Ruzaani is not responsible for an investment, procurement, implementation, technology, automation, AI, restructuring, staffing, vendor, or other material decision merely because website content discussed, identified, ranked, or suggested investigation of the relevant subject.

To the maximum extent permitted by applicable law, Ruzaani is not liable in connection with the public website for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, opportunity, anticipated savings, business continuity, goodwill, or data, where such loss results from use of or reliance upon those materials.

These limitations do not apply where liability cannot validly be excluded or limited under applicable law, including where applicable in relation to fraud, willful misconduct, or another non-waivable basis of liability.

Liability arising from an actual consulting engagement is governed by the applicable statement of work or other engagement agreement rather than by the limitations applicable solely to public website use.

19. Enforcement and suspension

Ruzaani may restrict or terminate access to an website function where there is a reasonable basis to believe that the user has materially violated these Terms, compromised security, attempted unauthorized access, used the system unlawfully, or created a material risk to Ruzaani, another person, or the operation of the website.

Where the circumstances permit, the restriction will be proportionate to the issue involved. Immediate action may be taken where necessary to protect information, infrastructure, users, or legal rights.

Termination of access does not grant Ruzaani ownership of user-provided information and does not alter the processing or deletion obligations established in the Privacy Notice.

20. Governing law

Except where mandatory law requires otherwise, these Terms and disputes arising from or relating to them are governed by the laws of the United Mexican States, without giving effect to rules that would require application of another jurisdiction's law solely because of a conflict-of-laws principle.

An applicable statement of work or engagement agreement may establish a different governing-law provision for the consulting engagement it governs.

Nothing in these Terms deprives a person of mandatory rights or protections that applicable law does not permit to be waived by contractual choice of law.

21. Informal dispute resolution

Before commencing arbitration concerning a dispute arising from these Terms, the party asserting the dispute must provide the other party with written notice describing the nature of the dispute and the relief sought.

The parties will attempt in good faith to resolve the dispute through direct discussion for thirty days after receipt of that notice.

Notice to Ruzaani under this clause may be sent to [email protected].

This informal-resolution period does not prevent either party from seeking urgent interim or protective relief where delay could materially prejudice its rights.

22. Arbitration

Except where mandatory law grants a right to bring the matter before a court or other authority that cannot validly be waived, any dispute, controversy, or claim arising out of or relating to these Terms, their interpretation, formation, breach, termination, or the use of the website that has not been resolved under the preceding clause shall be finally resolved by binding arbitration administered by the International Centre for Dispute Resolution of the American Arbitration Association (ICDR) in accordance with its International Arbitration Rules in effect when the arbitration is commenced.

The tribunal shall consist of one arbitrator.

The legal place, or seat, of arbitration shall be New York, New York, United States of America. The language of the arbitration shall be English.

The arbitrator shall apply the governing law established by these Terms and shall have authority to grant any remedy that would otherwise be available under that law, subject to any valid contractual limitation and any mandatory rule that applies to the dispute.

The arbitration, its non-public filings, evidence, and award shall be treated as confidential by the parties except to the extent disclosure is reasonably necessary to conduct or enforce the proceeding, obtain professional advice, comply with law or regulation, protect a legal right, or enforce or challenge an award before a competent authority.

Judgment upon the award may be entered or recognition and enforcement may be sought before any court having jurisdiction.

An applicable statement of work or other engagement agreement may establish a different dispute-resolution mechanism for disputes arising from the consulting engagement it governs. Where it does, that agreed mechanism prevails for those disputes.

23. Severability

If a provision of these Terms is held invalid, unlawful, or unenforceable, that provision shall be applied to the maximum extent legally permissible or, where necessary, severed from these Terms. The remaining provisions continue in effect unless the invalid provision is so fundamental that the Terms cannot reasonably operate without it.

24. No waiver

A failure or delay by Ruzaani to exercise a right under these Terms does not waive that right.

A waiver concerning one breach or circumstance does not constitute a continuing waiver or a waiver concerning another breach or circumstance unless expressly stated in writing.

25. Changes to these Terms

The Terms published at ruzaani.com/terms/ is the current Terms and become effective on the date stated at the beginning of the document.

Ruzaani may revise these Terms to reflect changes in website functionality, applicable law, security requirements, or business practices. Ordinary changes are communicated by publishing the revised Terms with a new effective date.

Where an interactive function requires acceptance of revised Terms before continued use, the user will be asked to accept the applicable version before using that function.

Changes to these Terms do not retrospectively amend an existing statement of work or engagement agreement unless that agreement expressly provides otherwise or the parties separately agree to the amendment.

26. Language

Ruzaani may publish these Terms in more than one language. Where legally permissible, the English version governs interpretation in the event of an inconsistency between published language versions, without limiting mandatory rights arising under applicable law.
