Effective date:

1. Scope and acceptance

These Terms of Use govern access to and use of ruzaani.com, its public content, self-service assessments, generated reports, account functions, and other digital functions made available by Ruzaani.

Ruzaani is a trade name operated by Fernando Alberto Ocampo Romay, with domicile at Hidalgo 914, Coatzacoalcos, Veracruz 96400, Mexico.

By accessing or using the website, a person agrees to use it in accordance with these Terms. Where an interactive function requires express acceptance of these Terms or another applicable notice, use of that function is subject to the version accepted at that time.

These Terms do not themselves govern the substantive performance of a consulting engagement. Where Ruzaani and a client enter into a statement of work, engagement agreement, or other written contract, that agreement governs the consulting work within its scope. If an applicable engagement agreement conflicts with these Terms in relation to that engagement, the engagement agreement prevails to the extent of the conflict.

2. Nature of Ruzaani's website and self-service assessments

The website provides information concerning Ruzaani, its services, methods, research, and areas of professional work. It also provides self-service assessments intended to help organizations and professionals examine particular transformation conditions and decisions.

A self-service assessment is a self-reported, non-audited informational tool. Its result is derived from the information supplied by the respondent and the methodology applicable to the assessment. Unless expressly stated otherwise in a separate professional engagement, Ruzaani does not independently verify the information supplied through a self-service assessment.

A self-service assessment and its report do not constitute an audit, certification, assurance opinion, verified professional conclusion, regulatory determination, or approval by Ruzaani of a proposed investment, technology, vendor, initiative, or course of action.

The assessments are intended to support preliminary understanding and decision-making. They do not replace professional review where the significance, uncertainty, technical complexity, regulatory environment, financial consequences, or other circumstances of a decision require appropriate specialist judgment.

3. No consulting relationship

Accessing the website, reading its content, completing a self-service assessment, receiving a report, requesting contact, exchanging preliminary correspondence, or participating in an initial discussion does not by itself establish a consultant-client relationship or other professional engagement with Ruzaani.

A consulting engagement exists only when Ruzaani and the relevant client expressly enter into a statement of work, engagement agreement, or other written contract establishing the work to be performed.

Until such an agreement exists, neither website use nor preliminary communications create a duty for Ruzaani to investigate the user's circumstances, verify submitted information, monitor subsequent decisions, identify risks not addressed by the relevant website content, or provide continuing professional advice.

4. Eligibility

Ruzaani's self-service assessments, saved-assessment functions, and account functions are intended for persons eighteen years of age or older.

A person using those functions represents that the person is at least eighteen years old and has legal capacity to accept these Terms.

Where a person provides information concerning an organization or another person, that person is also responsible for having the right or authority necessary to provide the information for the intended purpose.

5. User-provided information

A respondent is responsible for providing information that the respondent reasonably believes to be accurate, complete enough for the assessment's intended purpose, and representative of the situation being assessed. Ruzaani is not responsible for errors or misleading conclusions resulting from inaccurate, incomplete, outdated, misunderstood, or unrepresentative information supplied by a respondent.

Users must not submit personal, confidential, proprietary, or otherwise restricted information belonging to another person or organization unless they are entitled to disclose it for the relevant purpose.

Passwords, authentication credentials, private encryption keys, unlawfully obtained information, and unnecessary sensitive personal data must not be submitted through general website forms or self-service assessments.

Where an engagement requires Ruzaani to receive confidential, sensitive, regulated, or otherwise restricted information, its handling may be governed by the applicable engagement agreement in addition to Ruzaani's Privacy Notice.

6. Reliance on self-service results and website content

Website content and self-service assessment outputs are intended to assist understanding, investigation, and decision preparation. They are not instructions to undertake a particular investment, acquisition, implementation, procurement, hiring decision, restructuring, technology deployment, automation, AI use, or other material action.

The person or organization making a decision remains responsible for that decision and for determining what additional investigation, evidence, professional advice, specialist review, approval, testing, or due diligence is appropriate before acting.

Ruzaani's self-service assessments are not a substitute for legal, tax, accounting, investment, medical, safety, regulated engineering, certification, regulatory-compliance, or other professional advice requiring a specifically qualified practitioner.

The fact that an assessment identifies a possible opportunity, weakness, priority, or next step does not establish that the corresponding action is suitable, lawful, economically justified, technically feasible, or sufficient in the circumstances of a particular organization.

7. Assessment methodology and results

Each self-service assessment operates according to a defined methodology and version. Different versions may contain different questions, thresholds, dimensions, or result logic.

The assessment result applies only within the scope of the information requested and supplied. Matters outside that scope may materially alter the decision even if they are not reflected in the self-service result.

Ruzaani may identify uncertainty, incomplete coverage, contradictory responses, missing evidence, or other limitations as part of an assessment result. Such limitations form part of the result and must not be disregarded when interpreting it.

A self-service report may identify that additional investigation, evidence review, specialist involvement, or professional work could be useful. Such a result is not an obligation to purchase services from Ruzaani. A valid assessment result may also indicate that no further Ruzaani engagement is justified.

8. Artificial intelligence

Ruzaani may use artificial intelligence to assist certain analytical, drafting, explanatory, or research functions.

The principal scoring, thresholds, gates, routing rules, and required conclusions of Ruzaani's self-service assessments are deterministic rather than autonomously determined by a generative AI model. AI-assisted explanatory material does not override the result established by the applicable assessment rules.

AI-generated material may contain errors, unsupported statements, omissions, or inappropriate inferences. It must therefore be interpreted according to the limitations of the relevant function and must not be treated as independently verified merely because it was produced or assisted by an AI system.

Where professional work requires accountable human judgment, AI does not replace the responsible consultant or specialist.

9. Accounts and passwordless sign-in

Certain functions permit a user to save assessments or reports and return to them through passwordless email sign-in.

The user is responsible for maintaining control of the email account used for authentication and for taking reasonable steps to prevent unauthorized access to sign-in links or authenticated sessions.

A person must not attempt to access another person's saved assessment, report, account, or session without authorization.

Ruzaani may invalidate sessions, authentication links, or other credentials where reasonably necessary for security, abuse prevention, account protection, or compliance with law.

Saved assessments and reports are subject to the retention periods described in the Privacy Notice. Account or session availability does not create a promise that information will be retained indefinitely.

10. Reports

A report generated through a self-service assessment reflects the applicable assessment version, the information supplied by the respondent, and the assessment methodology in effect for that submission.

Reports may be downloaded or, where requested, delivered by email. A report does not become a professional audit or consulting deliverable merely because it is downloaded, forwarded, printed, or presented internally.

A recipient must not remove or alter limitations, qualification language, version information, or other material context in a manner that causes the report to misrepresent the nature or assurance level of the assessment.

11. Intellectual property

Unless otherwise stated, Ruzaani or the applicable rights holder retains all intellectual-property rights in the website, assessment methodologies, questions, scoring architecture, frameworks, software, text, graphics, templates, report structures, branding, research materials, and other original Ruzaani content. Access to the website does not transfer ownership of those materials.

Information supplied by a user remains subject to whatever rights the user or another lawful owner holds in that information. By submitting information to Ruzaani, the user grants Ruzaani only the rights reasonably necessary to process the information for the requested function, operate and secure the relevant service, comply with applicable law, and perform the statistical or research uses described in the Privacy Notice.

A generated report may contain both user-supplied information and Ruzaani intellectual property. Ruzaani retains its rights in the underlying methodology, structure, scoring system, explanatory framework, and reusable report elements.

The recipient of a legitimately generated report receives a perpetual, non-exclusive, royalty-free licence to use and reproduce that report for the recipient's or the relevant organization's internal business purposes and to share an unmodified copy with employees, officers, professional advisers, contractors, vendors, investors, financing sources, or other stakeholders where reasonably related to those internal purposes.

That licence does not include the right to resell the report, white-label it, systematically extract or reproduce the underlying assessment methodology, offer the assessment or report as the recipient's own product, commercially republish substantial portions of it, or represent the report as a certification, audit, assurance opinion, endorsement, or independent verification by Ruzaani.

12. Public research and publications

Ruzaani may publish research, analysis, benchmarks, articles, or other materials derived from aggregate or disassociated information.

Published research may describe patterns or comparisons observed in a defined dataset. Such findings are subject to the population, methodology, sample composition, assessment version, limitations, and other conditions applicable to the particular study.

A published statistical relationship does not establish that the same relationship applies to a particular organization, nor does an aggregate benchmark independently establish the condition of an organization using the self-service assessment.

The Privacy Notice governs the use and disassociation of assessment information for research purposes.

13. Prohibited use

The website and its assessments must not be used unlawfully, fraudulently, or in a manner intended to compromise their security, integrity, or legitimate operation.

Users must not impersonate another person; attempt to obtain unauthorized access to accounts, sessions, reports, infrastructure, or non-public information; bypass technical access or security controls; interfere with the website or its availability; introduce malicious code; use automated systems to scrape or systematically extract substantial portions of assessment content or methodology; reproduce the assessment as a competing or white-labelled product; use Ruzaani content in a manner that infringes intellectual-property or other legal rights; submit information that the user has no right to provide; or knowingly represent a self-service result as a professional audit, certification, assurance opinion, or verified determination.

Ordinary indexing by legitimate search engines and ordinary use of generally available browser or accessibility technologies are not prohibited by this clause.

Nothing in these Terms prohibits an activity that applicable law expressly makes non-waivable or permits notwithstanding a contractual restriction.

14. Third-party websites and services

The website may refer or link to third-party websites, publications, software, services, or providers.

A reference or link does not by itself constitute an endorsement, warranty, partnership, or representation that Ruzaani controls the third party. Third-party services are governed by their own terms and practices.

Ruzaani is not responsible for third-party content, availability, security, or practices except to the extent that applicable law imposes responsibility that cannot validly be excluded.

15. Privacy

Ruzaani processes personal data in accordance with its Privacy Notice. The Privacy Notice explains the categories of information processed, purposes of processing, retention periods, international processing, service providers, statistical and research use, and procedures for exercising applicable privacy rights.

The Cookie Notice describes cookies, browser storage, analytics technologies, and advertising measurement. The AI Notice describes the processing and limitations associated with artificial-intelligence systems.

These notices form part of the framework governing use of the corresponding website functions but do not expand a self-service assessment into a professional engagement.

16. Availability and changes to the website

Ruzaani does not provide a service-level commitment for its public website or self-service assessment functions.

Ruzaani may correct, maintain, update, suspend, replace, restrict, or discontinue website content or functionality where reasonably necessary for technical, security, operational, legal, methodological, or business reasons.

Ruzaani does not guarantee uninterrupted or error-free availability, permanent availability of a particular assessment version, or indefinite preservation of information beyond the applicable retention period.

Where practicable, Ruzaani will provide users of saved reports a reasonable opportunity to retrieve them before a planned permanent discontinuation that would otherwise make those reports unavailable. This does not prevent immediate restriction or suspension where necessary for security, abuse prevention, legal compliance, or protection of users or systems.

17. Disclaimer of warranties

To the maximum extent permitted by applicable law, the public website, informational content, and self-service assessments are provided on an as-available basis without a warranty that they will be uninterrupted, error-free, complete, suitable for every circumstance, or capable of producing a particular business result.

Ruzaani does not warrant that a self-service assessment will identify every relevant issue, risk, opportunity, dependency, legal requirement, technical constraint, or organizational condition.

Ruzaani does not warrant that a result based on information supplied by a respondent is factually correct where the underlying information has not been independently verified.

Nothing in these Terms excludes a warranty, guarantee, or statutory right that applicable law does not permit the parties to exclude.

18. Limitation of responsibility for self-service use

To the maximum extent permitted by applicable law, Ruzaani is not responsible for losses resulting from a person's or organization's decision to rely solely on website content or a self-service assessment where appropriate independent investigation, evidence, due diligence, professional advice, specialist review, or organizational approval was required by the circumstances.

In particular, Ruzaani is not responsible for an investment, procurement, implementation, technology, automation, AI, restructuring, staffing, vendor, or other material decision merely because website content or a self-service assessment discussed, identified, ranked, or suggested investigation of the relevant subject.

To the maximum extent permitted by applicable law, Ruzaani is not liable in connection with the public website or self-service assessments for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, opportunity, anticipated savings, business continuity, goodwill, or data, where such loss results from use of or reliance upon those materials.

These limitations do not apply where liability cannot validly be excluded or limited under applicable law, including where applicable in relation to fraud, willful misconduct, or another non-waivable basis of liability.

Liability arising from an actual consulting engagement is governed by the applicable statement of work or other engagement agreement rather than by the limitations applicable solely to public self-service use.

19. Enforcement and suspension

Ruzaani may restrict or terminate access to an interactive function, account, or saved content where there is a reasonable basis to believe that the user has materially violated these Terms, compromised security, attempted unauthorized access, used the system unlawfully, or created a material risk to Ruzaani, another person, or the operation of the website.

Where the circumstances permit, the restriction will be proportionate to the issue involved. Immediate action may be taken where necessary to protect information, infrastructure, users, or legal rights.

Termination of access does not grant Ruzaani ownership of user-provided information and does not alter the processing or deletion obligations established in the Privacy Notice.

20. Governing law

Except where mandatory law requires otherwise, these Terms and disputes arising from or relating to them are governed by the laws of the United Mexican States, without giving effect to rules that would require application of another jurisdiction's law solely because of a conflict-of-laws principle.

An applicable statement of work or engagement agreement may establish a different governing-law provision for the consulting engagement it governs.

Nothing in these Terms deprives a person of mandatory rights or protections that applicable law does not permit to be waived by contractual choice of law.

21. Informal dispute resolution

Before commencing arbitration concerning a dispute arising from these Terms, the party asserting the dispute must provide the other party with written notice describing the nature of the dispute and the relief sought.

The parties will attempt in good faith to resolve the dispute through direct discussion for thirty days after receipt of that notice.

This informal-resolution period does not prevent either party from seeking urgent interim or protective relief where delay could materially prejudice its rights.

22. Arbitration

Except where mandatory law grants a right to bring the matter before a court or other authority that cannot validly be waived, any dispute, controversy, or claim arising out of or relating to these Terms, their interpretation, formation, breach, termination, or the use of the website or self-service assessments that has not been resolved under the preceding clause shall be finally resolved by binding arbitration administered by the International Centre for Dispute Resolution of the American Arbitration Association (ICDR) in accordance with its International Arbitration Rules in effect when the arbitration is commenced.

The tribunal shall consist of one arbitrator.

The legal place, or seat, of arbitration shall be New York, New York, United States of America. The language of the arbitration shall be English.

The arbitrator shall apply the governing law established by these Terms and shall have authority to grant any remedy that would otherwise be available under that law, subject to any valid contractual limitation and any mandatory rule that applies to the dispute.

The arbitration, its non-public filings, evidence, and award shall be treated as confidential by the parties except to the extent disclosure is reasonably necessary to conduct or enforce the proceeding, obtain professional advice, comply with law or regulation, protect a legal right, or enforce or challenge an award before a competent authority.

Judgment upon the award may be entered or recognition and enforcement may be sought before any court having jurisdiction.

An applicable statement of work or other engagement agreement may establish a different dispute-resolution mechanism for disputes arising from the consulting engagement it governs. Where it does, that agreed mechanism prevails for those disputes.

23. Severability

If a provision of these Terms is held invalid, unlawful, or unenforceable, that provision shall be applied to the maximum extent legally permissible or, where necessary, severed from these Terms. The remaining provisions continue in effect unless the invalid provision is so fundamental that the Terms cannot reasonably operate without it.

24. No waiver

A failure or delay by Ruzaani to exercise a right under these Terms does not waive that right.

A waiver concerning one breach or circumstance does not constitute a continuing waiver or a waiver concerning another breach or circumstance unless expressly stated in writing.

25. Changes to these Terms

The Terms published at ruzaani.com/terms/ are the current Terms and become effective on the date stated at the beginning of the document.

Ruzaani may revise these Terms to reflect changes in website functionality, assessment methods, applicable law, security requirements, or business practices. Ordinary changes are communicated by publishing the revised Terms with a new effective date.

Where an interactive function requires acceptance of revised Terms before continued use, the user will be asked to accept the applicable version before using that function.

Changes to these Terms do not retrospectively amend an existing statement of work or engagement agreement unless that agreement expressly provides otherwise or the parties separately agree to the amendment.

26. Language

Ruzaani may publish these Terms in more than one language. Where legally permissible, the English version governs interpretation in the event of an inconsistency between published language versions, without limiting mandatory rights arising under applicable law.
